WHEREAS

(A) The Company is the sole Distributor of an educational software known as the "Mikids Multimedia Teaching Software" (hereinafter called "the Programme") produced by Myquest Academy (M) Sdn.Bhd.

(B) The Company agrees to grant the Learning Centre the right to use the Programme in its premises located at the above mentioned address upon the terms and conditions of this agreement.

1. The Learning Centre hereby agrees to use the Programme for the purpose of education and not for any illegal activities.
2. The Learning Centre shall during the term of this agreement agree to:
   1. send suitable teachers to Mikids Teacher Training for the purpose of learning the contents and teaching methodology.
   2. use its best endeavour to maintain a good level of teaching to sure that the Programme achieves its learning objectives;
   3. allow Company representatives to visit the Learning Centre to assess the progress of the students; and
   4. abide by the anti-theft software password generating procedures implemented by the Company.
3. The Learning Centre shall during the term of this agreement agree not to:-
   1. use any similar programme from another supplier,
   2. be concerned or interested, either directly or indirectly, in the manufacture or distribution of any goods which directly compete with the Programme.
   3. sell the Programme to any other party.
4. Either party can terminate this Agreement by giving the other party three (3) months notice in writing in the event that any party:-
   1. goes into liquidation; or
   2. ceases to carry on business.
5. Upon the termination of this agreement, the Learning Centre shall immediately stop using the Programme and cease from presenting itself as a user of the Programme and shall settle all outstanding accounts up to the effective termination date.
6. The Leaming Centre shall at all times during the continuance of this Agreement and after its termination be obliged to keep confidential all restricted information, not for public consumption, relating to the Programme software, workbooks, audio compact disc and lesson plans.
7. This Agreement embodies the entire terms and conditions agreed upon between the Parties as to the subject matter hereof and supersedes and cancels in all respect all previous agreements and undertakings, if any, between the parties with respect to the subject matter hereof whether such be written or oral.
8. This Agreement shall be governed by and construed in accordance with the laws of Malaysia and the Parties hereby agree to be subject to the exclusive jurisdiction of the Courts of Malaysia.
